1. INTRODUCTION

These Terms of Use ("Terms") govern your use of helloyubi.com and any other websites, pages, services, and tools operated by YUBI, LLC, a Florida limited liability company ("YUBI," "we," "us," or "our"), where these Terms are posted or linked (together, the "Site"). They apply whether you visit the Site on a computer, phone, or tablet, and they cover your browsing, your purchases, and anything you submit to us.

PLEASE NOTE: THESE TERMS CONTAIN A CLASS ACTION WAIVER AND A JURY TRIAL WAIVER, AS DESCRIBED IN SECTION 24 (LEGAL DISPUTES).

BY ACCESSING OR USING THE SITE OR PLACING AN ORDER, YOU AGREE TO THESE TERMS (INCLUDING THE CLASS ACTION AND JURY TRIAL WAIVERS), OUR PRIVACY POLICY, AND ANY GUIDELINES OR RULES WE POST ON THE SITE ("Guidelines"). IF YOU DO NOT AGREE, PLEASE DO NOT USE THE SITE.

We may change these Terms and our Guidelines from time to time, at our discretion. When we do, we will post the updated version on the Site and change the "Last Updated" date above. Changes take effect when posted and apply to your use of the Site from that point on. They will not apply to a dispute that arose before the change was posted. Please review these Terms periodically. Continuing to use the Site after a change means you accept the updated Terms.

2. ELIGIBILITY AND ACCOUNTS

You must be at least 18 years old, or the age of majority where you live if that is older, to buy from the Site or create an account. If you are younger, you may use the Site only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf. The Site is not directed to children under 13, and we do not knowingly collect personal information from them.

If you create an account, you agree to:

  • Give us accurate, current, and complete information, and keep it up to date.
  • Keep your password confidential and not share your account with anyone.
  • Take responsibility for all activity under your account.
  • Tell us right away at joy@helloyubi.com if you believe someone has used your account without permission.

If you choose to stay signed in, or to save a payment method to your account, anyone with access to your device may be able to view your account or place orders. Please use a passcode or other lock on your device. YUBI is not responsible for losses caused by someone else using your device or login credentials, except where the law says otherwise.

3. COPYRIGHT

Except for brand content described below, all design, text, graphics, logos, icons, images, photographs, audio and video clips, and software on the Site, and the way they are selected and arranged, are owned by YUBI or its licensors and protected by U.S. and international copyright laws. Brand content. Some product images, logos, packaging artwork, and product descriptions on the Site belong to the brands whose products we sell, or to their licensors. This content remains the property of its owners, is credited where shown, and is used to identify and sell those brands' products. YUBI does not claim ownership of it, and nothing in these Terms gives you any right to use it. Brand owners with questions about how their content appears on the Site can contact us at joy@helloyubi.com.

You may view, electronically copy, and print portions of the Site only to shop, place an order with YUBI, or use the Site as a personal shopping resource. Any other use, including reproducing, modifying, distributing, republishing, transmitting, displaying, or performing Site materials, requires YUBI's prior written permission.

4. TRADEMARKS

The YUBI name and logo, and the Site's page headers, custom graphics, icons, and slogans, are trademarks, service marks, or trade dress of YUBI. You may not use them in connection with any product or service that YUBI does not offer, or in any way that is likely to confuse customers or disparage YUBI.

All other brand names, product names, company names, and logos on the Site belong to their respective owners. YUBI is an independent retailer. Unless we say so expressly, YUBI is not affiliated with, sponsored by, or endorsed by the brands whose products we sell, and mentioning a product, brand, or supplier does not mean YUBI endorses or recommends it.

5. PRODUCT INFORMATION

The products on the Site are made by third-party brands, many based in Asia. Product descriptions, ingredient lists, claims, and images generally come from those brands and their distributors. We work to keep this information accurate, but YUBI does not warrant that product descriptions or other Site content are accurate, complete, reliable, current, or error-free. Always check the product's own packaging for the most current ingredients, directions, and warnings.

Packaging and formulas may vary. Brands sometimes change formulas, packaging, or labels without notice. Products imported from overseas may carry packaging or text in their original language alongside English labeling, and the item you receive may look different from the photos on the Site.

Not medical advice. All information on the Site is for personal, educational, and informational purposes only. Statements about products have not been evaluated by the U.S. Food and Drug Administration or any other government agency. Products sold on the Site are not intended to diagnose, treat, cure, or prevent any disease, and results vary from person to person.

Use every product strictly according to its instructions, precautions, and warnings. Check ingredients for anything you may be allergic or sensitive to, and consider a patch test before using a new product. The Site is an online store for beauty products, not a substitute for professional medical advice. YUBI is not a physician and does not answer medical questions. Consult your physician or health care provider before using any product if you have a medical condition, are pregnant or nursing, or have concerns about an ingredient. A minor should use products from YUBI only after a parent or legal guardian has discussed them with the minor's doctor. IF YOU NEED MEDICAL ATTENTION, CALL 911 OR YOUR PHYSICIAN IMMEDIATELY.

Personal use only. Products you buy or receive from YUBI, including free samples and gifts, are for your personal use. You may not sell or resell them. Except where prohibited by law, YUBI may limit the quantity of any product available per order, customer, household, or shipping address. YUBI may also cancel or reduce any order that, in our sole discretion, appears intended for resale or otherwise violates these Terms.

6. COLOR INFORMATION

We try to show product colors as accurately as possible. The colors you see depend on your screen, lighting, and device settings, so they may not match the actual product exactly.

7. ORDERS, PRICING, PAYMENT, SHIPPING, AND RETURNS

Where we ship. YUBI currently ships only to addresses within the United States. All prices on the Site are in U.S. dollars and apply only to orders shipped within the United States. See our Shipping Policy for details.

Prices and availability. Prices, promotions, and product availability may change at any time without notice. Applicable sales tax and shipping charges are added at checkout.

Order acceptance. Your order is an offer to buy. An order confirmation email means we received your order, not that we accepted it. We accept your order when we ship it. YUBI may refuse, cancel, or limit any order at any time, including after you receive a confirmation, for reasons such as:

  • The product is unavailable.
  • The product or its price was listed in error.
  • We suspect fraud or unauthorized activity.
  • The order appears intended for resale or exceeds quantity limits.
  • The order otherwise violates these Terms.

If we cancel an order after you have been charged, we will refund the amount charged for the canceled items.

Errors. Despite our efforts, the Site may contain typographical errors or inaccuracies in pricing, descriptions, images, or availability. YUBI reserves the right to correct any error and to cancel orders affected by it, even after an order has been placed.

Payment. By submitting payment information, you confirm that you are authorized to use that payment method. Payments are handled by third-party payment processors, whose terms and privacy policies also apply.

Returns and refunds. Returns, refunds, and exchanges are governed by our Return & Refund Policy, which is part of these Terms.

8. GIFT CARDS, REWARDS, AND REFERRAL PROGRAMS

Gift cards. YUBI gift cards can be redeemed only for merchandise on the Site. They cannot be used to buy other gift cards. Purchased gift cards do not expire and carry no fees. Gift cards cannot be redeemed for cash, refunded, or returned, except where the law requires otherwise. Treat a gift card like cash: YUBI is not responsible for gift cards that are lost, stolen, or used without your permission. YUBI may void any gift card obtained through fraud or in violation of these Terms.

Promotional credits. Promotional cards, codes, or credits that YUBI gives away at no cost have no cash value and may expire. Any expiration date and conditions will be stated in the offer.

Rewards and referral programs. If YUBI offers a rewards, loyalty, or referral program, it will have its own program terms, posted on the Site. Points, rewards, and referral credits have no cash value, cannot be transferred or sold, and may be changed or ended as described in the program terms and as permitted by law. If program terms conflict with these Terms, the program terms control for that program.

9. RESPONSIBILITY FOR YOUR CONTENT

You alone are responsible for everything you upload, post, email, or otherwise send to or through the Site or to YUBI. That includes ratings and reviews, questions and answers, photos, videos, comments, messages, profile information, and social media content you allow us to use (together, "Content"). YUBI may require you to have an account, or to have bought the product, before you can submit certain Content.

10. YOUR USE OF CONTENT ON THE SITE

YUBI provides areas of the Site where users can share Content, such as reviews, as a forum only. YUBI does not control user Content and cannot guarantee its accuracy, integrity, or quality. Content from other users reflects their own opinions and experiences, not YUBI's. You may come across Content you find inaccurate or offensive, and you view it at your own risk. YUBI is not liable for any user Content, including errors or omissions in it, or for any loss or damage resulting from your use of it. The preceding sentence does not apply to New Jersey residents.

You may access and use Content on the Site only as these Terms and our Privacy Policy allow. Unless these Terms expressly permit it, you agree not to:

  • Copy, reproduce, modify, create derivative works from, distribute, republish, publicly display or perform, license, transfer, or sell any Site content.
  • Reverse-engineer, decompile, or disassemble any part of the Site.
  • Mirror, frame, or "deep link" to the Site in a misleading way.
  • Use any robot, spider, scraper, or other automated means to access, collect, extract, or data-mine the Site or its content.
  • Use any data or content from the Site to develop or train artificial intelligence or machine learning models.
  • Circumvent, disable, or interfere with security features, or with features that limit use of the Site or its content, including bypassing robot exclusion headers.
  • Interfere with or disrupt the Site or the servers and networks connected to it.
  • Use the Site for any unlawful purpose, or to collect or store personal information about other users.

YUBI reserves all rights not expressly granted in these Terms.

11. YOUR CONTENT SUBMISSIONS

By submitting Content, you represent and warrant that:

  • You understand the Content may be publicly visible to other Site users, and possibly on Third Party Sites.
  • You created and own the Content, or you have all the rights, licenses, consents, and permissions needed to grant YUBI the license below, including permission from anyone who appears in it.
  • You understand YUBI may use your Content in marketing, including on the Site, in emails, and on our social media channels.
  • You comply with the Federal Trade Commission's Guides Concerning the Use of Endorsements and Testimonials in Advertising. In particular:
    • Your statements reflect your honest, current opinions and actual experiences.
    • If your Content shows a "look" or result, you actually used the products shown or mentioned, according to their instructions. The look fairly represents how the products perform, without filters, editing, or effects that materially enhance or alter them.
    • If you received anything of value for your Content (such as free product, a discount, a giveaway entry, or payment), or you have a material connection to YUBI or a brand mentioned, you have disclosed it clearly and conspicuously in the Content.
  • You waive any "moral rights" you may have in the Content, to the extent permitted by law.
  • You meet the age and legal eligibility requirements in Section 2.
  • Using your Content as permitted by these Terms will not violate these Terms or cause injury to any person or entity.

You also agree that your Content:

  • Is not false, inaccurate, or misleading.
  • Does not ask for or give medical advice.
  • Does not harm minors.
  • Does not infringe anyone's copyright, trademark, patent, trade secret, or rights of publicity or privacy.
  • Does not violate any law or regulation, or any duty of confidentiality you owe to someone else.
  • Is not defamatory, obscene, vulgar, hateful, harassing, threatening, bullying, or discriminatory.
  • Does not include other people's personal information, or links, contact details, or promotions for other websites or businesses.
  • Is not spam, phishing, a chain letter, a pyramid scheme, or any other unauthorized advertising or solicitation.
  • Does not contain viruses or other harmful code.
  • Does not impersonate any person or entity or misrepresent your affiliation with anyone, including YUBI.

YUBI does not endorse any user Content or any opinion or advice in it, and disclaims all liability for Content posted by others.

Ideas and suggestions. If you send YUBI ideas, suggestions, or proposals, they are not confidential, YUBI may already be working on something similar, and you are not entitled to any compensation for them unless YUBI agrees otherwise in writing.

License to YUBI. As between you and YUBI, you keep ownership of your Content. By submitting it, you grant YUBI and its affiliates, licensees, successors, and assigns a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, publicly display and perform, edit, adapt, translate, create derivative works from, and otherwise use your Content in any media now known or later developed, without compensation to you, for any lawful purpose, including advertising and promotion. This includes sharing your Content, such as your reviews, with the brands whose products we sell, and adding shopping links so others can buy products shown in your Content. This license survives termination of these Terms and the end of your use of the Site.

California minors. If you are a California resident under 18 and a registered user of the Site, you may ask us to remove Content you posted by emailing joy@helloyubi.com. Removal may not be complete, for example if someone else has reposted it.

11a. RATINGS AND REVIEWS

We want to hear what you think of the products you have tried. Every rating and review ("Review") must follow these Terms, including Section 11. When you write a Review:

  • Base it on your own experience with the product, and explain what you liked or didn't like.
  • Keep it about the product. Questions about orders, shipping, or returns belong with our customer service team through our Contact Us page.
  • Rate the product from 1 star (lowest) to 5 stars (highest).
  • Do not ask for or give medical advice.
  • Disclose clearly if you received the product for free or got anything else in exchange for your Review.

Photos and videos. Photos and videos must relate to the product you are reviewing and must not show other people without their permission. Objectionable images will be rejected.

Honest reviews. YUBI does not require or reward positive Reviews. Any incentive we offer for a Review is never conditioned on the Review being positive. We post Reviews whether they are positive or negative, as long as they follow these Terms.

Moderation. Reviews may be read and moderated before or after they appear, and posting may take a few business days. YUBI may decline to post, or may remove, any Review that violates these Terms or the law. Examples include Reviews that are unrelated to the product, abusive or obscene, spam, fake, or that include personal information or infringe someone's rights. A Review may be removed after it first appears if it is later found to violate these Terms.

11b. CONTENT POSTED ON SOCIAL MEDIA CHANNELS

YUBI may contact you to ask for permission to use content you posted on a social media platform, such as Instagram, TikTok, or YouTube. This can include your photos, videos, captions, and related content ("Social Media Content"). If you give permission, this section applies unless you and YUBI agree in writing to different terms.

YUBI will have the worldwide, perpetual right, without payment to you, but not the obligation, to:

  • Publish your Social Media Content on the Site and in YUBI marketing in any media now known or later developed, including emails and YUBI's social media channels.
  • Add links so others can shop products shown or mentioned in your Social Media Content, or related products.
  • Use only parts of your Social Media Content (for example, only the photo or an excerpt of the caption), and edit it for format, length, or clarity.

You represent and warrant that:

  • You created the Social Media Content and have all rights to it, and anyone else who appears in it has given permission for this use.
  • You actually used the products shown or mentioned, according to their instructions.
  • Any "look" fairly represents how the products perform, without filters, editing, or effects that materially enhance or alter them.
  • Your statements reflect your honest, current opinions and experiences.
  • If you received anything of value (such as free product, a discount, a gift card, a giveaway entry, or rewards points) from YUBI or anyone else for the post, or you have a material connection to YUBI or a brand mentioned, you disclosed it clearly and conspicuously. YUBI may also disclose it in any way we choose when we use the content.
  • YUBI's use of your Social Media Content as described here will not violate anyone's rights.

12. THIRD PARTY CONTENT AND THIRD PARTY SITES

The Site may include content from third parties ("Third Party Content"), such as product descriptions, images, and information supplied by brands and distributors, as well as links to Third Party Sites. YUBI does not monitor, approve, or control Third Party Content or Third Party Sites. Including them does not imply any association with, or endorsement by, YUBI. YUBI does not guarantee the accuracy or completeness of Third Party Content or Third Party Sites and is not responsible for updating them. You use them at your own risk, and they do not necessarily reflect YUBI's views.

13. TEXT MESSAGES AND MOBILE ACCESS

YUBI does not charge you to access the Site from a mobile device, but your carrier's normal rates and fees, such as data charges, still apply.

If you opt in to text messages from YUBI, you agree to receive recurring automated marketing and order-related text messages at the mobile number you provide. Consent is not a condition of any purchase. Message frequency varies, and message and data rates may apply. Reply STOP at any time to unsubscribe, or HELP for help. 14. MODIFICATION OF CONTENT

Content you submit is not confidential, and YUBI owes no duty of confidentiality for it. YUBI may, but is not required to, pre-screen Content. YUBI and its designees may, in their sole discretion, format, condense, or remove any Content, and may refuse to post Content that violates these Terms or our Guidelines. YUBI will not edit a Review in a way that changes its meaning. YUBI does not guarantee that you will be able to edit or delete Content after you submit it. You, not YUBI, are responsible for what your Content says.

15. RESERVATION OF RIGHTS

YUBI may, at any time, without notice, and in its sole discretion, refuse service to anyone, end your permission to use the Site, close your account, and block your future access. YUBI may access, preserve, and disclose your account information and Content if the law requires it, or if we believe in good faith that doing so is reasonably necessary to:

  • Comply with legal process.
  • Enforce these Terms.
  • Respond to claims that Content violates the rights of others.
  • Respond to your customer service requests.
  • Protect the rights, property, or personal safety of YUBI, its users, or the public.

16. DISCLAIMER OF WARRANTIES

YUBI PROVIDES THE SITE AND ITS CONTENT ON AN "AS IS" AND "AS AVAILABLE" BASIS. YUBI MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, ABOUT THE OPERATION OF THE SITE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS ON IT. TO THE FULLEST EXTENT PERMITTED BY LAW, YUBI DISCLAIMS ALL SUCH WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. YUBI DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. ANY WARRANTY ON A PRODUCT IS PROVIDED BY ITS MANUFACTURER, IF AT ALL.

Some jurisdictions do not allow the exclusion of implied warranties, so some of these exclusions may not apply to you. In that case, they apply to the fullest extent the law allows.

17. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, YUBI AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, INCOME, PROFIT, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR ANY PRODUCT BOUGHT THROUGH THE SITE, EVEN IF YUBI HAS BEEN TOLD THAT SUCH DAMAGES ARE POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, YUBI'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE, THESE TERMS, OR ANY PRODUCT BOUGHT THROUGH THE SITE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID YUBI FOR THE PRODUCT OR PRODUCTS GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow these limitations, so some of them may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law. This section does not apply to New Jersey residents.

18. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless YUBI and its owners, officers, agents, affiliates, employees, and service providers from all claims, demands, losses, liabilities, costs, expenses, and damages, including reasonable attorneys' fees, arising out of:

  • Your misuse of the Site.
  • Your violation of these Terms.
  • A breach of your representations and warranties about Content.
  • Your violation of any law or the rights of any third party, including copyright, property, publicity, or privacy rights.
  • Any claim that Content you submitted caused damage to a third party.

This obligation survives termination of these Terms and the end of your use of the Site.

19. COPYRIGHT COMPLAINTS (DMCA)

If you believe your copyrighted work has been copied and posted on the Site in a way that constitutes infringement, please send YUBI's designated copyright agent a written notice under the Digital Millennium Copyright Act ("DMCA") that includes:

  • An electronic or physical signature of the person authorized to act on behalf of the copyright owner.
  • A description of the copyrighted work you claim has been infringed.
  • A description of where the allegedly infringing material is located on the Site, such as its URL.
  • A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
  • Your name, address, telephone number, and email address.
  • A statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.

YUBI may remove allegedly infringing material and, in appropriate circumstances, terminate the accounts of repeat infringers.

20. FRAUD PROTECTION

YUBI screens orders for fraud and other unauthorized or illegal activity. We may refuse to process or may cancel an order we suspect is fraudulent, unauthorized, or illegal, or that violates our published policies. We may contact you by email or at the phone number you provided to verify an order. We may also close accounts or refuse to ship to certain addresses for these reasons. These steps protect our customers and YUBI.

21. PRIVACY

By providing your email address, you agree that YUBI and its service providers may use it to contact you about your orders, your account, Content you have submitted, and other administrative matters, and for any other purpose permitted or required by law. Marketing emails will include a way to unsubscribe. Our Privacy Policy explains how YUBI collects, uses, and shares your personal information, including information you provide when using the Site. 22. WAIVER

If YUBI waives any term of these Terms, that waiver does not apply to any other term or to later situations. YUBI's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

23. DISPUTE RESOLUTION

If you have a problem with YUBI, we want to resolve it quickly and fairly through customer service. Most concerns can be resolved by contacting us through our Contact Us page or by emailing joy@helloyubi.com. Please contact us first and give us a reasonable chance to make it right. If we cannot resolve the dispute that way, these Terms explain how it will be handled.

TO THE EXTENT PERMITTED BY LAW, YOU AND YUBI AGREE THAT ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM ARISES. OTHERWISE, THE CLAIM IS PERMANENTLY BARRED. This paragraph does not apply to New Jersey residents.

24. LEGAL DISPUTES; CLASS ACTION WAIVER; JURY TRIAL WAIVER

IF YOU ARE A U.S. RESIDENT, YOU ALSO AGREE TO THE FOLLOWING:

PLEASE READ THIS SECTION CAREFULLY. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION AND TO HAVE A JURY TRIAL.

NO CLASS ACTIONS: TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND YUBI EACH KNOWINGLY, VOLUNTARILY, AND INTENTIONALLY WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION AGAINST THE OTHER, WHETHER BASED ON CONTRACT, STATUTE, TORT, OR ANY OTHER THEORY. ALL CLAIMS MUST BE BROUGHT ONLY IN A PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

26. SEVERABILITY

These Terms are intended to be read so that they are valid, legal, and enforceable. If any provision is found partly or wholly invalid, illegal, or unenforceable, it will be modified or limited only as much as necessary to make it enforceable, and the remaining provisions will stay in full effect.
